HayberBooks Terms of Service

These Terms are a contract between the business accepting them ("you") and HayberTech & Trade LLC ("HayberTech," "we," or "us"), the operator of HayberBooks. If you accept for a business, you confirm that you are authorized to bind that business.

1. Private access and eligibility

HayberBooks is invitation-only. An access request does not create an account or guarantee approval. You must be at least 18, provide accurate information, and be authorized to view every financial account or statement you add.

2. What the service is

HayberBooks is a cash-flow and bookkeeping-assistance product. It can import transaction data, suggest categories, identify patterns, summarize cash activity, and answer questions about the data available to it.

HayberBooks is not a bank, lender, CPA, tax preparer, payroll provider, financial adviser, or official general ledger. It does not provide legal, tax, investment, or financial advice. AI and automated classifications can be incomplete or wrong, so you must review outputs and use a qualified professional for official records and decisions.

3. Your account and security

  • Keep credentials and authentication devices secure and do not share accounts.
  • Notify books@haybertech.com promptly if you suspect unauthorized access.
  • You are responsible for activity performed through your authorized users and integrations.
  • We may require password resets, multifactor authentication, or re-verification to protect the service.

4. Financial-data authorization

When you connect an institution through Plaid, you authorize HayberBooks and Plaid to retrieve the account and transaction information you select and to refresh that information until you disconnect it. HayberBooks does not initiate transfers, withdrawals, or payments through the read-only connection used by the product.

You may also upload statements or enter transactions manually. You represent that you have authority to provide that information and that it does not violate another person's rights.

5. AI-assisted features

HayberBooks uses automated rules and OpenAI API services for certain categorization, summarization, and question-answering features. Relevant transaction information and your question may be sent to OpenAI. Response storage is disabled by HayberBooks, and API data is not used to train OpenAI models unless HayberTech explicitly opts in.

AI output is probabilistic. Do not treat an AI category, explanation, forecast, or alert as verified accounting or professional advice. Where available, you may request a manual-only mode, which reduces functionality.

6. Trial, subscription, and billing

  • The standard plan is $18 per month, billed through Stripe.
  • Unless your invitation states otherwise, new clients receive a 14-day trial.
  • If you provide a payment method for a trial, you authorize Stripe to charge $18 when the disclosed trial ends and monthly thereafter until cancellation.
  • If no payment method is collected, paid access does not begin automatically; features may become read-only or unavailable when the trial ends.
  • You may cancel through Settings or the Stripe portal. Cancellation normally takes effect at the end of the current paid period.
  • Except where law requires otherwise, partial-month fees are not prorated or refunded.
  • We will provide reasonable advance notice before changing the price applicable to a renewing subscription.

7. Acceptable use

You may not:

  • Access another client's information or connect an account without authorization.
  • Use the service for fraud, money laundering, tax evasion, or other unlawful activity.
  • Probe, scrape, reverse engineer, disrupt, overload, or bypass security or rate limits.
  • Upload malware or content that infringes another person's rights.
  • Resell the service or represent its output as verified professional accounting without written permission.

8. Your data and our software

You retain rights in the information you provide. You grant HayberTech the limited rights needed to host, process, transmit, back up, and display it to operate and protect HayberBooks. HayberTech retains all rights in the service, software, branding, and product materials.

When HayberTech processes personal data on behalf of a business customer, the Data Processing Addendum applies to that processing.

9. Availability and changes

The service may be interrupted by maintenance, security work, bank or vendor outages, or events outside our control. Financial institutions may delay, modify, or stop providing data. We may change or discontinue features and will give reasonable notice when a change materially reduces paid functionality.

10. Suspension, termination, and export

You may stop using HayberBooks and cancel at any time. We may suspend or terminate access for nonpayment, security risk, suspected fraud, unlawful activity, or a material breach of these Terms. Where practical, we will provide an opportunity to export available data before permanent deletion. Deletion and retention are described in the Privacy Policy.

11. Disclaimers

To the maximum extent permitted by law, HayberBooks is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that transaction feeds, categories, balances, forecasts, exports, or AI output will be complete, current, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, HayberTech will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, or decisions made using HayberBooks output. HayberTech's aggregate liability relating to the service will not exceed the amount you paid for HayberBooks during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so they apply only to the extent permitted.

13. Indemnification

To the extent permitted by law, you agree to defend and indemnify HayberTech from third-party claims arising from your unlawful use, unauthorized financial data, infringement, or material breach of these Terms.

14. Governing law and disputes

Illinois law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party agrees to attempt an informal resolution by written notice to the other. Any court proceeding must be brought in a state or federal court with jurisdiction in Illinois, unless applicable law requires another forum.

15. Changes and contact
